RUSSIAN SEASONS
SUBJECT OF THE CONTRACT

1.1 The Organiser renders services to the Participant for his participation in the festival RUSSIAN SEASONS ARABIA 2025.
1.1.1 The address of the festival: Palace Downtown, Dubai, United Arab Emirates. The Organiser reserves the right to change the venue of the Festival.
1.1.2 Festival dates: 27-28 February 2025. The Organiser reserves the right to slightly change these dates and times.
1.1.4 Time of the Festival: from 10:00 to 22:00.
1.2 Procedure for joining the Agreement
1.2.1 After familiarisation with the terms and conditions of this Agreement, the Participant may join the Agreement by performing a set of consecutive actions:
1.2.2. The Participant fills in all fields of the questionnaire on the official website www.ruseasons.com and expresses its consent to the terms and conditions of this Agreement by confirming the item ‘I accept the terms and conditions of the Agreement’.
1.2.3 In case the Organiser approves the application of the Participant to join the Contract, the Participant receives an invoice for the participation fee to the e-mail address indicated in the Application, which the Participant must pay according to the terms and conditions of clause 3 of the Contract.
1.2.4 The Organiser within 3 (three) working days after receipt of payment from the Partner sends the Participant a confirmation of joining the Agreement or a refusal to join the Agreement.
1.2.5 By acceding to this Agreement, the Participant expresses full and unconditional consent to all terms and conditions of the Agreement, including consent to the processing of personal data in respect of the sole executive body of the Participant (as a legal entity) and the Participant (as an individual entrepreneur).
1.2.6 This Agreement may be unilaterally amended by the Organiser without prior notice to the Participant. The new version of the Contract shall come into force from the moment of its publication on the website www.ruseasons.com , unless otherwise provided by the new version of the Contract.
1.2.7. The Participant has the right to refuse to accept the changes to this Agreement made by the Organiser, which means the Participant's refusal to participate in the Festival, by notifying the Organiser through the contacts posted on the official website www.ruseasons.com.


2.. RIGHTS AND OBLIGATIONS OF THE PARTIES

2.1. THE ORGANISER UNDERTAKES:

2.1.1 Organise and hold the Festival in Dubai within the time frame, in accordance with this Agreement.
2.1.2 Provide the Exhibitor with exhibition space in accordance with the application and payment.
2.1.3 Produce and place advertisement of the Festival in mass media and provide information about the Festival and business events to the Festival participants and persons interested in visiting the Festival.
2.1.4 Ensure the coordination of the event.
2.2 The Organiser has the right to change the location or form of the Exhibitor's stand without reducing the exhibition area if there are technical circumstances not previously foreseen, in other cases changes are possible only with the consent of the Exhibitor. The layout of the Festival as a whole, its modification or changes in individual details of the Festival are the competence of the Organiser.


2.3. THE PARTICIPANT UNDERTAKES:

2.3.2. pay the Organiser the cost of participation in the Festival
2.3.3. to transport the products, information and advertising materials offered for display to and from the Festival at their own expense.
2.3.4. To provide the Festival with goods that fully correspond to the Festival theme.
2.3.5 Ensure that the demonstration of exhibits is accompanied by expert explanations.
2.3.6 Do not carry out any activities leading to cluttering of the aisles or interfering with the work of other Participants. USSR
2.3.7 Do not apply varnishes, adhesives and other coatings to the floors, walls and other stand equipment without the Organiser's approval.
2.3.8 Keep the provided exhibition area and exhibits clean and tidy.
2.3.9 The Exhibitor shall dismantle and remove his exhibits, information and advertising material from the exhibition area within the terms specified in clause 1.2 of this Agreement. Not to dismantle the stand, pack the exhibits and remove them from the exhibition area before the official closing date of the Festival.
2.3.10. Ensure the permanent presence of its representative at the stand during the Festival opening hours.
2.3.11. Observe the rules of fire safety.
2.3.13. Not to provide the rented stand to any third party either partially or completely, either for a fee or free of charge, without the Organiser's written permission.


3. SETTLEMENT PROCEDURE

3.1 The Participant undertakes to pay 100% of the cost of participation in the Festival to the Organiser within 3 days from the date of joining the Festival
3.2 The Participant shall be given the opportunity to participate in the Festival only on condition of full payment to the Organiser according to clause 3.1. before the beginning of the Festival installation.


4. FORCE MAJEURE (FORCE MAJEURE)

4.1 In the event of circumstances that make it impossible for either party to fully or partially fulfil its obligations under this Contract, namely: fire, natural disasters, war, military operations of any nature, prohibition of export or import or other circumstances beyond the control of the parties, the term for the performance of obligations shall be postponed in proportion to the time during which such circumstances will be in force.
4.2 If such circumstances last for more than 3 (three) months, each of the Parties shall have the right to refuse further performance of obligations under the Contract, and in this case neither of the Parties shall be entitled to reimbursement of possible losses by the other Party.
4.3 The Party for which it has become impossible to fulfil its obligations under the Contract shall immediately notify the other Party of the occurrence and termination of the circumstances preventing the fulfilment of obligations.
4.4 The documents (certificates) issued by the relevant competent authorities of the Parties shall serve as a confirmation of the occurrence of force majeure circumstances and their duration.


5. LIABILITY OF THE PARTIES

5.1 In case of non-fulfilment or incomplete fulfilment of their obligations under this Contract the Parties shall be liable in accordance with the current legislation of the Russian Federation.
5.2 Participants of the Fair, selling goods at the Fair, shall bear administrative responsibility in accordance with the current legislation for violations of the rules of sale of goods, sanitary rules, legislation on protection of consumer rights and application of cash registers and other requirements stipulated by the legislation and regulatory legal acts.
5.3 The Participant shall be obliged to reimburse in full the cost of repair of the property damaged through the fault of the Participant, as well as third parties engaged by the Participant, and in case of impossibility of repair - the cost of new (similar) property purchased to replace the damaged one.


6. DISPUTE SETTLEMENT

6.1 All disputes and disagreements arising under this Agreement shall be resolved by the Parties by means of negotiations.
6.2 If mutually acceptable solutions cannot be reached, the disputes shall be considered in the Arbitration Court of Moscow.

7. TERM OF VALIDITY OF THE CONTRACT

7.1 This Agreement shall come into force from the moment of its signing by both parties and shall remain in force until the full completion of all obligations of both parties under this Agreement.


8. TERMS OF CANCELLATION

8.1. In case of termination of the contract at the initiative of the Participant, the Participant must inform the Organiser 10 (ten) days prior to the termination in writing, no refund of the amounts paid by the Participant will be made.
8.2 In the event of termination of the contract at the initiative of the Organiser, the Organiser shall inform the Participant 10 (ten) days prior to the termination in writing, the refund of the amounts paid by the Participant shall be made in full.

9. OTHER TERMS

9.2 Insurance of exhibits shall be at the discretion of the Exhibitor and at his expense.
9.4 The Organiser of the exhibition Russian Seasons Arabia 2025 does not control how the Exhibitor trades (with cash register / without cash register): the Exhibitor reports to the state independently.
9.5 Exhibitors may only carry out promotional activities within their stand. Any advertising activities (distribution of leaflets and booklets, installation of billboards, posters, etc.) of the Exhibitors, third parties under contract, companies or persons outside the Exhibitor's stand in the aisles of the exhibition hall, at the entrances/exits or directly on the approach to the exhibition hall without the Organiser's approval is prohibited.
9.6 Any sound or moving advertisement must be agreed in writing with the Organiser to avoid disturbance to other Exhibitors and visitors. Any advertising that violates the layout or integrity of the exhibition, norms of ethics and morality, damaging the prestige of the Festival and the Organiser may be prohibited by the Organiser.
9.7 The installation of music systems at the stand must be agreed with the Organiser.
9.8. When reproducing video materials, the Participants are solely responsible for observing the copyrights of the reproduced materials.
9.9 If clauses 9.6.-9.8. are not taken into account, the electricity supply to the Exhibitor's stand may be discontinued without taking into account the damage caused to the stand lighting. In this case, the Exhibitor shall not be entitled to any claims for direct or indirect damage caused by the interruption of the power supply.
9.10. All wires on exhibits or their fixtures must be approved by the Organiser's technical service and the fire safety inspection of the premises where the Festival is held.
9.11. It is forbidden to decorate the stand with flammable materials.
9.12. The Organiser is not responsible for the loss or damage of any items brought to the Hotel by persons participating in the event.
9.13. The Organiser shall be liable for loss and damage to the property belonging to the Hotel in the amount of real damage determined in accordance with the current civil legislation of the Russian Federation.
